Malgré le fait que les montants des rémunérations soient acceptables, il est regrettable que la société fasse preuve d'un tel manque de transparence vis à vis des rémunérations de Catherine Nini et Virginie de Vichet. En effet, les critères de la part variable ne sont pas communiqués avec les pondérations et les taux de réalisations des exercices précédents. De ce fait, nous ne pourrons soutenir les résolutions 5, 6 et 7. D'une part, le montant de la rémunération variable de Catherine Nini, basé sur le résultat net, pourrait devenir excessif si ce dernier venait à augmenté fortement. D'autre part, la décision d’incorporer la rémunération variable de Virginie de Vichet à sa rémunération fixe est plus que regrettable.
Enfin, nous soulevons le fait que sur un Conseil composé de 5 personnes, seulement un membre est considéré comme indépendant selon notre politique de vote. Le taux d'indépendance arrive donc à 20% ce qui très en deçà de notre minimum de 50%.
