The Company has paid a dividend in respect of the financial year, however no resolution to approve the distribution has been proposed at the general meeting.
Item 2: Approve the Remuneration Report. The structure is unsatisfactory as qualtative criteria exceed guidelines, accelerated vesting is possible, and the pension contribution is excessive. There were substantial changes to the performance criteria to apply to the STI and to the structure of long term remuneration, but shareholder approval for these changes has not been sought.
