Il est proposé aux actionnaires d'approuver un projet de filialisation des différentes activités du groupe en France par voie de six apports partiels d'actifs au sein de six filiales détenues à 100%. Ces opérations consistent en une réorganisation interne qui ne peut affecter le patrimoine des actionnaires. Par conséquent, nous recommandons l'approbation des résolutions 1 à 6.
Par ailleurs, le conseil d'administration était jusqu'à présent composé d'une majorité de membres libres de conflits d'intérêts potentiels, caractéristique assez rare pour une société contrôlée pour être saluée. Cependant, deux nouveaux membres sont proposés au conseil. Les deux candidats étant des dirigeants de Wendel, actionnaire principal, le conseil ne sera plus majoritairement indépendant. Seul point positif, une femme figure parmi les deux candidats, ce qui améliorera le Taux de féminisation du conseil pour le porter à 38%, ce qui demeure cependant en dessous du seuil de 40% qu'exige la loi Copé-Zimmermann à partir de 2017 (résolutions 7 et 8).
