REMUNERATIONS
Cette année encore la société ne communique aucune information (critère de performance, pondérations, taux de réalisation, objectifs à atteindre) sur le bonus annuel attribué à son Directeur Général. Cette absence de communication explique notre recommandation négative sur la résolution 6.
Par ailleurs, la société propose de nouveau d'attribuer des actions de préférence à son premier dirigeant. Si le principe de ce type de rémunération pourrait être acceptable, et si ces critères s’inscrivent parfaitement dans la stratégie de la société et constituent des Milestones importants dans le développement de l’activité, dans le cas présent, on notera toutefois que leur exigence semble modérée (puisque ces milestones sont nécessaires à la commercialisation du cœur Carmat, donc ils seront forcément réalisés à un moment donné) et surtout que leur horizon de réalisation est plutôt court-termiste.
Le principe des instruments de rémunération est d'inciter à la performance long-terme, ce qui permet un alignement de la rémunération du dirigeant avec les performances long-terme de la société et donc les intérêts long-terme des actionnaires. Nous ne soutenons donc pas les résolutions 24 à 26.
Carmat is focused on the research and development of an innovative product in the medical sector, developing an orthotopic and biocompatible artificial heart which is completely implantable, as well as its electrical power supply system and remote diagnosis system. Co. is developing a long-term therapeutic solution for patients who suffer from advanced bi-ventricular heart failure and who are not eligible for cardiac transplantation and who have exhausted all drug possibilties. Co. is still in the phase of research and development and thus do not generate any revenues.
