La société propose une modification statutaire prévoyant la possibilité d'avoir des censeurs au sein du Conseil et propose la nomination de Frédéric Duchesne en cette qualité.
Destinée souvent à parer aux limitations de cumuls de mandats ou à cacher un faible taux d'indépendance des administrateurs, la nomination de censeurs au conseil pose problème : la présence obligatoire de personnes n'assumant pas les mêmes responsabilités mais bénéficiant d'un même niveau d'autorité risque de gêner les travaux des administrateurs. C'est ainsi que Proxinvest recommande l'opposition à la première résolution prévoyant la modification statutaire consacrant la possibilité d'en nommer. D'autant que le projet de formulation de l'article 16 des statuts prévoit que le nombre de censeurs pourra s'élever à quatre.
En conséquence nous recommandons également l'opposition à la seconde résolution proposant la nomination de Frédéric Duchesne en qualité de censeur.
