Contrairement à l'exercice précédent, il n'est pas proposé de quitus au Président Directeur Général et aux membres du Conseil d'administration pour l'exercice écoulé. Ce changement est apprécié par Proxinvest qui considère que tout mandataire social responsable et diligent doit assumer ses responsabilités passées et ne devrait pas avoir besoin de quitus pour sa gestion.
La société fait le choix de distinguer au sein des résolutions 5 et 6 les rémunérations perçues par Pierre Cesarini pour ses fonctions de Président du Conseil et de Directeur Général au titre de l'exercice 2019-2020. L'essentiel de la rémunération perçue par Pierre Cesarini est perçue en sa qualité de Directeur des Opérations de Claranova Development et non pas en sa qualité de mandataire social de Claranova SE. Il est regrettable que cette pratique amène de facto à soustraire cette part de la rémunération du vote contraignant des actionnaires. Nous recommandons l'opposition à la résolution 6.
