Depuis de nombreux exercices, Proxinvest émet des réserves sur les différentes conventions signées entre la société et des administrateurs de la société. Cependant, elles continuent à produire leurs effets à l'exception de l'une d'entre elle qui a pris fin en 2017 (résolution 4).
La politique de rémunération des mandataires sociaux n'est pas satisfaisante en terme de transparence et de structure avec notamment l'absence de rémunération de long-terme. Si cette dernière critique n'est pas pertinente pour le PDG qui est également le principal actionnaire de la société, il est par ailleurs regrettable pour le DGD que le montant de son bonus annuel pour 2017 ne soit pas communiqué tout comme les critères de performance utilisés. Pour 2018, une rémunération de long-terme devrait être mise en place en sa faveur mais pour un montant qui risque d'être trop élevé (résolutions 7 à 10 et 13).
