Rémunérations
Concernant les rémunérations attribuées à Bertrand Dumazy, la société n’a apporté aucune amélioration à sa communication. Ainsi, pour les critères financiers, elle ne communique pas les taux de réalisation de chacun de ces critères, et pour les autres critères quantitatifs, elle ne communique pas clairement quel indicateur est utilisé. Cela ne permet pas à l’actionnaire de comprendre comment ont été fixés les montants attribués et donc de comprendre dans quelle mesure les montants attribués sont alignés avec les performances effectuées. De plus, la structure de la rémunération 2018 ne respecte pas nos préconisations. Enfin, les montants attribués sont excessifs (157% de la médiane des rémunérations totales du SBF 120, 130% de la médiane des rémunérations totales du secteur Industrial Goods & Services du MSCI Europe).
Concernant la politique de rémunération 2019, la société n’a apporté aucune modification par rapport à 2018. Ainsi, la structure et les montants en jeu sont bien trop généreux. Ainsi, cette politique n’est globalement pas satisfaisante et nous ne la soutenons pas.
