En effet, la documentation disponible ne correspond pas pleinement aux pratiques de la place, et ne permet pas, sur certains points, la prise de décision la plus éclairée des actionnaires. Ainsi, la société devrait améliorer la clarté de sa communication, notamment concernant l'actionnariat de la société.
Afin de pouvoir remplir au mieux la mission de surveillance et de protection de l’ensemble des actionnaires qui lui incombe, il nous semblerait préférable que le conseil ne soit pas composé de seulement cinq membres dont aucun ne peut être considéré comme libre de conflits d'intérêts potentiels. Dans ces conditions, la résolution 6 ne pourra être ainsi soutenue.
En 2018, pour les 40 ans du groupe, chaque salarié a reçu 40 actions de la société. Une autorisation d'attribution d'actions gratuites est demandée. Cependant, au regard du montant de l'autorisation, de l'absence de conditions de performance et du montant dont pourrait peut bénéficier le premier dirigeant, nous recommandons l'opposition (résolutions 10 et 11).
