Euronext- Assemblée Générale Extraordinaire des actionnaires du 20 Novembre 2020

L’assemblée générale des actionnaires est convoquée afin de permettre à Euronext d’acheter la Bourse de Milan auprès du London Stock Exchange pour 4,325 Mds€.
 
Le financement de l’opération est structuré au travers d’augmentations de capital réservées à la Cassa Depositi e Prestiti et à la banque Intesa Sanpaolo ainsi qu’aux actionnaires d’Euronext avec un droit préférentiel de souscription.
 
L’opération représente une opportunité stratégique indéniable pour Euronext. Les conditions financières de l’opération semblent acceptables malgré un endettement qui va devenir substantiel. En terme de gouvernance, le conseil de surveillance devrait demeurer majoritairement libre de conflits d’intérêts potentiels et être présidé par un membre indépendant. Dans ces conditions, la transaction semble acceptable et les résolutions seront soutenues.
