The mandates of John Birt and Jean d’Arthuys will expire at the end of this Annual
General Meeting, and Carole Piwnica resigned. Hence, the board of Directors will
comprise 10 members (previously 12) with a majority of independent members
(independence rate: 60%).
The board of Directors seeks shareholder approval of the election of Cynthia Gordon
(ITEM 5) and the re-election of Ana Garcia Fau (ITEM 6). Given the independence rate
and the fact that the two Directors do not hold an excessive number of mandates, ECGS
recommends to APPROVE.
Under ITEMS 8, 9, 10, 12 and 13 : the Board of Directors seeks shareholder approval for
the remunerations of Rodolphe Belmer (CEO), Michel Azibert (Deputy CEO) and Yohann
Leroy (Deputy CEO). Given the fact that amounts are acceptable and the level of
disclosure of the Company is satisfactory, ECGS recommends shareholders to
APPROVE. However, ECGS notes that the performance measurement period is slightly
too short.
Eutelsat Communications is a private telecommunications satellite operator involved in the design, establishment, operation and maintenance of satellite telecommunications systems covering a large geographical area (extended Europe (including North Africa and the Middle East), sub-Saharan Africa, parts of America and Asia). As of June 30, 2013, Co. owned and operated 31 satellites in geostationary orbit and 4 satellites in inclined orbit.
