Le Conseil d’administration de la société Fleury Michon S.A. réuni le 17 décembre 2019, a décidé de soumettre à l’Assemblée Générale, le projet de transfert des titres de la société Fleury Michon S.A. sur le marché Euronext Growth à Paris. Cette opération consiste à demander à Euronext la radiation des titres des négociations du marché Euronext et leur admission concomitante aux négociations sur le marché Euronext Growth.
Proxinvest n’est pas favorable à cette opération qui pourrait réduire les droits des actionnaires ou ferait peser un risque pour la gouvernance de la société. Fleury Michon n’étant déjà pas exemplaire en terme de gouvernance (taux indépendance du Conseil très faible de 18%, une faible diversité avec seulement 36% de femmes au conseil, manque de transparence concernant les rémunérations), le transfert de titres ne semblerait pas favorable aux intérêts des actionnaires. Par conséquent, nous recommandons l'opposition aux résolutions 1 et 2.

Present on three self-service markets (charcuterie, fresh prepared meals and prepared seafood) in supermarkets, Co. specializes in pork hams and poultry cuts, prepared meals, surimi and ready-to-eat charcuterie. Co.'s operations can be divided into three segments: French Supermarkets (Fresh self-service products sold in the prepared meals and charcuterie sections of supermarkets under Co.'s name or private labels); International (Fresh self-service products under development in Canada, Spain, Italy, Switzerland and Slovenia); and Other activities (Eat-out and catering).
