Proxinvest attire l'attention sur les points suivants :
- Le conseil d'administration est composé uniquement de membres du groupe familial qui contrôle la société. Le conseil d'administration est donc intégralement non libre de tout conflit d'intérêts.
- Si les rémunérations attribuées au titre de 2017 aux dirigeants sont acceptables, on regrettera toutefois que dans le cadre de sa politique de rémunération pour 2018, la société ne communique pas les montants en jeu, notamment des rémunérations fixes.
- Enfin, la société s'autorise à intervenir en période d'offre publique, ce qui est considéré comme constitutif d'un dispositif de défense anti-OPA, ce qui ne respecte pas les principes de Proxinvest.
