Ex ante and Ex post Say on Pay resolutions will be supported this year once again. Indeed, the company's communication is accurate, the structure is correctly ballanced and the amounts seem in line with effective performance. Even if LTI seems high compared to the base salary ; the remunerations of Jacques Gounon, CEO, and François Gauthey, deputy CEO, are reasonable.
Our only concerns relate to share appreciation: our own appreciation is almost twice the company's and this explains the high level of LTI. Furthermore, a more complete communication related to performance targets will be appreciated.

The Board is still mainly independent, and we appreciate the election of Corinne Bach, that strengthen the Board's independance, and feminisation rate too. Indeed, the company is now in line with Copé-Zimmermann Law, with a 45% feminisation rate.
