Proxinvest attire l'attention des actionnaires sur la présence de droits de vote doubles au sein de la société sous condition de détention nominative d'au moins 4 années.
Proxinvest relève cette année encore le manque de transparence des documents publiés par la société. En effet, la société ne communique que très peu d'information concernant ses administrateurs, aucune biographie n'est disponible et ni les dates de premières nominations ni l'indépendance du conseil ne sont communiquées. De même, les honoraires des commissaires aux comptes ne sont pas communiqués.
De plus, le conseil est composé d'aucun membre indépendant selon Proxinvest et compte cinq membres de la famille actionnaire.
Enfin la société ne communique aucun montant, ou aucune politique de rémunération que ce soit pour les dirigeants ou les administrateurs. Proxinvest regrette ce manque de transparence qui ne permet pas aux actionnaires d'avoir un regard éclairé sur l'administration de la société.
