La société propose la ratification de la cooptation de Pierre Guiollot, Directeur Financier Adjoint chez ENGIE.
Selon notre politique, lorsque le conseil ne comprend pas une majorité de membre libre de tout conflit d'intérêt, un représentant pour chacun des 3 principaux actionnaires sera tout de même soutenu. Cependant, ENGIE est déjà représenté au conseil. Ainsi, tant que le conseil ne comprendra pas une majorité de membres libres de tout conflit d'intérêt, la nomination d'un ou plusieurs administrateurs représentants de cet actionnaire ne sera pas soutenue. Nous recommandons donc l'opposition à la résolution 5.
La société a amélioré sa communication à propos de la politique de rémunération. Cette année, la société communique un plafond pour la rémunération long terme et exceptionnelle. De plus, les critères d'attribution de la rémunération long terme pour le nouvel exercice sont plus précisément détaillés. Au regard de ces évolutions positives, et des montants attribuables qui restent acceptables, nous recommandons l'approbation à la résolution 11.
