Proxinvest attire l'attention des actionnaires sur les points suivants.
Tout d'abord le point d'attention pour Proxinvest est la rémunération attribuée et la rémunération attribuable au Président Directeur Général. Ainsi le manque de communication et l'excessivité de la rémunération long-terme empêche Proxinvest d'approuver la rémunération attribuée. Et en l'absence de plafond pour la rémunération variable long-terme, celle-ci pourrait atteindre d'après Proxinvest près de 4 millions d'euros. Ainsi au vue de ce montant très largement excessif, nous ne pourrons pas soutenir cette rémunération non plus. (Résolutions 11 et 12).
Ensuite concernant les renouvellement, Proxinvest soutiendra l'un des représentant d'Engie au conseil, mais en l'absence d'une conseil majoritairement indépendant, les autres représentants ne seront pas soutenus.
