La société propose le renouvellement de 4 administrateurs, dont celui de Robert Peugeot. Celui-ci est Président Directeur Général d'une société cotée (FFP) et siège aux conseils de 4 sociétés cotées n'appartenant pas au groupe FFP (Sofina, DKSH, Safran et Hermès), ce qui est excessif et pose un probleme de disponibilité du mandataire. On notera sur ce point d'ailleurs qu'en 2017, il n'a assisté qu'à 71% des réunions du conseil d'Hermès. Les autres renouvellements proposés concernent des membres du conseil de surveillance liée à la famille actionnaire fondatrice. Cependant, tant que le conseil ne comprendra pas une majorité de membres indépendants, ces renouvellements ne pourront pas être soutenus (résolutions 9 à 12).

L'Assemblée Générale est également appelée à se prononcer sur la rémunération des gérants de la société au titre de l'exercice 2017 (résolutions 7 et 8). La société n'a apporté aucune amélioration à sa politique de rémunération des gérants. Aussi, concernant M. Dumas, l'indemnité de départ dont il pourrait bénéficier ne respecte pas les recommandations Proxinvest qui limite cette indemnité à 12 mois de rémunération. Elle pourrait s'élever à plus de 5,5 M€.
D'autre part, la rémunération de la société Emile Hermès SARL, gérant et associé commandité, excède largement la médiane de la rémunération des dirigeants du SBF 120 et la limite socialement acceptable de 240 SMIC définie par Proxinvest.

Enfin, la société étant une SCA, elle n'est pas soumise à la Loi Sapin II et ne présente donc pas de vote ex ante sur la politique de rémunérations 2018.
