La société propose d’approuver le transfert de cotation des actions de la Société du marché réglementé Euronext compartiment C vers le marché multilatéral de négociations Euronext Growth. La société justifie ce transfert de la manière suivante : "Ce transfert permettrait à HiPay Group d'être coté sur un marché mieux adapté à la taille de l'entreprise et à sa capitalisation boursière actuelle. ".
Selon Proxinvest, le transfert réduirait les droits des actionnaires ou ferait peser un risque pour la gouvernance de la société (fin de l’obligation de Référence à un code de gouvernement d’entreprise, fin de l’obligation d’information concernant les rémunérations des dirigeants, fin de l’obligation de soumettre ces rémunérations ex ante et ex post aux votes des actionnaires, fin de l’obligation de respect des règles de parité (Loi Copé-Zimmermann), fin de l’obligation de représentation des actionnaires salariés au conseil, etc…).
Ce transfert de titres ne semblerait pas favorable aux intérêts des actionnaires ; nous ne soutenons donc pas la proposition.
