Le lien entre IGE+XAO et Schneider Electric, actionnaire majoritaire avec 67,76% du capital et 65,53% des droits de vote est très important.
Ce lien se reflète dans:
- la composition du Conseil d'administration avec 4 membres sur 6 ayant un contrat de travail avec le premier actionnaire, dont Alain Di Crescenzo, Président Directeur Général ;
- les conventions avec les parties liées ;
- l'attribution de la rémunération du Président Directeur Général au titre de l'exercice 2019 (résolution 9) ;
- la politique de rémunération de ce dernier pour le nouvel exercice (résolution 10).
L'intégrité du projet d'entreprise est donc fortement dépendant de celui de Schneider Electric.
Concernant le quitus aux administrateurs proposé en résolution 5, Proxinvest considère que tout mandataire social responsable et diligent assume ses responsabilités passées et ne devrait généralement pas avoir besoin du quitus de sa gestion, ce pourquoi nous recommandons l'opposition.
