L'ensemble des rémunérations attribuées au titre de 2019 aux dirigeants mandataires sociaux font l'objet des résolutions 8 à 11. La particularité d'Infotel est de présenter des politiques de rémunération ne comportant aucune part variable. Cette spécificité n'est pas en accord avec notre politique de vote. Toutefois, les mandataires sociaux dirigeants sont tous actionnaires et détiennent ensemble 37,43% du capital et les montants sont raisonnables, ce qui atténue nos réserves et nous soutenons ces résolutions.
On regrettera que l’autorisation de rachat d’actions soit utilisable en période d’offre publique puisque cela constitue une arme anti-OPA.
