GOUVERNANCE

Le 5 novembre 2018, le Président-Directeur général Philippe Lazare a été remplacé par Nicolas Huss à la direction générale et par Bernard Bourigeaud à la présidence du conseil. Les fonctions de Président et de Directeur général sont ainsi désormais séparées.
Ce changement nous permet d'approuver la cooptation et la nomination de Nicolas Huss au Conseil d'administration (résolutions 7 et 8).

Le fort taux d'indépendance du Conseil (67%) nous permet également de soutenir les cinq autres nominations et renouvellements d'administrateurs (résolution 9 à 13).

REMUNERATION

La rémunération dûe au titre de l'exercice 2018 à Philippe Lazare sera soutenue. En effet, ce dernier a renoncé à son bonus annuel et l'indemnité de départ d'un montant de 1,5 M€ ne semble pas excessive au regard d'un parcours boursier au cours de son mandat de Directeur général (2007-2018) qui a vu le cours de l'action multiplié par trois (résolution 14).

En raison d'une rémunération fixe moins élevée que celle de son prédécesseur, la politique de rémunération de Nicolas Huss pour 2019 sera soutenue malgré une structure qui pourrait être améliorée (résolution 17).
