In general, Investor is in compliance with the Swedish regulations relating to the organisation and procedures of the Annual General Meeting.
Under ITEM 13a, the Nomination Committee seeks approval for the Company's nonexecutive fees. In our view, the Company's non-executive fees are in line with Swedish market practice and we consider the proposed increases to be reasonable. On the other hand, we do not approve the partial payment in synthetic shares in this respect. We have several concerns with respect to the features and characteristics of the proposed payment in synthetic shares. We therefore recommend opposition.
Under ITEMS 14a-14k, the (re-)election of the Board of Directors is proposed. We strongly welcome the individual election procedure for the Board of Directors established by the Company's nomination committee!
In light of our concerns over aggregate time commitments, we recommended opposition to the (re-)election of: Mr. Hans Straberg (ITEM 14g), Mr. Jacob Wallenberg (ITEM 14i) and Mr. Marcus Wallenberg (ITEM 14j).
Under ITEM 15, it is proposed to re-appoint Mr. Jacob Wallenberg as Chairman of the Board of Directors. Since we have various concerns over Mr. Jacob Wallenberg's reelection we recommend opposition.
Finally, ITEMS 20a-20o are proposals made by shareholders. We recommend a vote in favour of ITEMS 20a-20f and 20h-20l. We do not support the other proposals.
