Pratique appréciable, chaque nouvelle convention réglementée figurant au sein du rapport spécial des commissaires aux comptes fait l'objet d'une résolution spécifique. Pratique plus rare, les actionnaires peuvent également se prononcer sur les anciennes conventions au travers d'une résolution propre. En raison d'un manque de transparence et d'un possible conflit d'intérêts, les conventions portant sur des baux avec des sociétés détenues par le Président-Directeur Général ne seront pas soutenues (résolutions 6 et 7).
Il convient de noter que le conseil est majoritairement composé de membres libres de conflits d'intérêts potentiels.
Malgré de fortes réserves sur la transparence, les montants modérés permettent d'approuver les rémunérations des deux principaux dirigeants de la société (résolutions 9 à 12). En revanche, les avantages différés en faveur du Directeur Général Délégué ne pourront être soutenus car leurs caractéristiques ne respectent pas la politique de vote de Proxinvest (résolution 5 et 13).
