Plusieurs points peuvent mériter l'attention des actionnaires.
D'une part, le Conseil est majoritairement indépendant (70%), ce qui n'est pas si courant dans une société de cet indice et qui mérite d'être relevé. La société a su prendre en compte les recommandations faites par Proxinvest.
D'autre part, il serait appréciable que la société soit encore plus transparente sur les rémunérations, notamment sur les conditions de performances. Par ailleurs, les montants sont excessifs par rapport aux rémunérations des dirigeants du même indice boursier.
Enfin l'indemnité de révocation et l'indémnité de non-concurrence ont été refusées en raison d'une part, des hypothèses où le dirigeant pourrait recevoir l'indémnité de départ, qui ne correspondent pas à nos recommandations et d'autre part, pour la durée de d'une année qui ne répond pas à nos préconosations.

Co.'s main activity consists of purchasing, storing, and delivering different families of products. Co. is active in four markets for the distribution of special steels through four brands: JACQUET (distribution of stainless steel thick "Quarto" plates); Stappert (distribution of long stainless steel products); Abraservice (distribution of wear-resistant "Quarto" plates); IMS group (distribution of engineering steels). Co.'s main consumer sectors are the following industries: chemical; agro foods; treatment and storage of gases; water treatment; environment and cleanup; and energy.
