La rémunération du Président Directeur Général au titre de l'exercice 2019 représente 313% de la médiane des rémunération totales des dirigeants des 250 premières capitalisation boursières françaises. Le montant ne nous permet pas de recommander l'approbation (résolution 8).

Les conséquences juridiques d'un rejet de la résolution d'approbation du rapport sur la rémunération (résolution 9) serait l'obligation pour le Conseil d'Administration de proposer une nouvelle politique de rémunération à l'assemblée générale et la suspension des jetons de présence jusqu'à son adoption. Proxinvest souhaite voir le conseil proposer une politique de rémunération amendée.

Concernant la ratification de la cooptation de Monsieur André Martinez, bien que nous reconnaissons l'expertise qu'il peut avoir sur le secteur en ayant été Président du Conseil d'Administration d'Icade jusqu'en 2019, celui-ci est considéré comme membre non libre de conflits d'intérêts (résolution 10).
