La société n'observe pas les recommandations du code AFEF MEDEF, concernant la durée de mandat des adminsitrateurs, qui est de 6 ans. La justification apportée par la société pour expliquer cette divergence est peu satisfaisante : "compte tenu de sa taille, la Société juge que la durée du mandat des membres du Conseil d’Administration qui a été fixée à 6 ans est plus adaptée qu’un renouvellement plus fréquent".
Par ailleurs, la société associe toujours le quitus aux administrateurs à la résolution portant sur l'approbation des comptes sociaux, ce qui entraîne une recommandation négative pour l'ensemble de la résolution 1, qui incluait également l'approbation des dépsenses non déductibles visées à l'article 39-4 du Code général des impôts.
Enfin, on notera également que la société n'a pas réalisé de progrés par rapport à l'exercice précédent, en termes de communication des principes et critères de la rémunération de ses dirigeants manadataires sociaux.
