Cette année, nous soutiendrons les résolutions sur la rémunération ex-post destinée à Daniel Harari au regard d'une bonne transparence de la société, mais aussi des montants raisonnables en jeu (résolution 6). Cependant, nous ne pourrons soutenir la résolution sur la rémunération ex-ante au vue d'un bonus maximum excessif et d'une rémunération totale trop élevée par rapport aux autres dirigeants de son indice (résolution 7).
De plus, au regard d'un conseil majoritairement indépendant (taux d'indépendance de 80%) nous soutiendrons le renouvellement de Anne Binder et de Bernard Jourdan (résolutions 8 et 9).
La société est coutumière du quitus aux administrateurs. Le vote du quitus constitue un abandon partiel par l'actionnaire de ses droits de recours, il peut affaiblir une action judiciaire ultérieure. Proxinvest s'y oppose.
