Le nombre de conventions réglementées conclues avec la société Fidexi (en lien avec Robert Dardanne, administrateur de LNA Santé) est considérable. Or, le principe de conventions conclues avec une société détenue par un mandataire social est une pratique qui paraît peu saine et qui ne peut que susciter des conflits d'intérêts potentiels.
Les rémunérations des dirigeants mandataires sociaux au titre de l'exercice 2019 restent raisonnables et stables par rapport à l'exercice précédent, ce qui justifie une recommandation positive de notre part (résolutions 8 à 10).
Compte tenu des montants en jeu, la politique de rémunération pour l'exercice 2020 fait également l'objet d'une recommandation positive de notre part (résolutions 12 à 14).
L'ensemble des résolutions proposant une augmentation de capital sont maintenues en période d'offre publique. Proxinvest s'y oppose en raison de leur possible utilisation comme dispositif anti-OPA pouvant constituer un obstacle à la pleine valorisation de la société.
