La société s'autorise à intervenir sur son titre en période d'offre public. Proxinvest considère que cette pratique est contraire à l'intérêt des actionnaires. Ceci explique notre opposition aux nombreuses résolutions proposées à l'AG, à savoir les résolutions 11 à 23, dont les montants sont par ailleurs trop dilutifs.
En ce qui concerne la rémunération des dirigeants et des membres du conseil, les montants demandés tant sous forme de jetons que les enveloppes d'options et de BSA semblent trop généreux pour être acceptés (résolutions 26 à 29). Malgré une information qui mériterait d'être complétée, les résolutions 5, 6, 8 et 9 portant sur les montants et la politique de rémunération en faveur du Président du conseil et du Directeur général pour 2017 (loi Sapin II) seront soutenues en raison depra ques passées acceptables.
