Bien que la rémunération du Président Directeur Général soit d'un montant raisonnable (213 042 €), force est de constater qu'il existe une décorrélation entre sa rémunération (+13,6%) et les performances de la société, tant sur l'évolution du cours de l'action, du chiffre d'affaires, du résultat opérationnel ou du résultat net. En effet, en dépit de l'attribution d'aucune rémunération variable, sa rémunération totale a connue une progression grâce à l'attribution d'une rémunération exceptionnelle et à l'augmentation de la rémunération fixe pour l'exercice 2018 (résolution 8).
Il est vrai que cette modulation de la rémunération a été possible en raison de l'absence de communication de la politique de rémunération de l'exercice 2018 au sein du rapport sur la gouvernance de l'entreprise. Cette pratique est renouvelée pour l'exercice 2019 (résolution 9).
La proposition d'une "green shoe" en résolution 16, est une pratique à proscrire en raison de la dilution instantanée entraînée par une décote souvent bien supérieure à 5%.
Enfin, Proxinvest s'oppose aux augmentations de capital maintenues en période d'offre publique, en raison de leur possible utilisation comme dispositif anti-OPA (résolutions 12, 13, 14 et 19).
