Proxinvest attire l'attention des actionnaires sur plusieurs points.
Tout d'abord la cession d'actions de la part de Casino pour descendre à 26% du capital de Mercialys. Cette descente au capital a entrainé une rémunération exceptionnelle pour les dirigeants puisque ces derniers ont assisté aux road shows pour convaincre la vente. Ces rémunérations exceptionnelles font l'objets de résolutions pour amender la politique 2018 et accepter ces rémunérations. Ces rémunérations sont entièrement prises à charge par Casino et sont plutôt bien expliquées et permettent à Proxinvest de les soutenir.
Ensuite, la société a décidé de dissocier les fonctions de Directeur Général et de Président du Conseil, ce que recommande Proxinvest. Ainsi ce changement dans la gouvernance est apprécié par Proxinvest et permet de recommander l'approbation au renouvellement d'Éric Le Gentil, le nouveau Président du Conseil.
Mercialys is a real estate company, specialized in the transformation and management of shopping centers. Co. manages a portfolio of 91 properties located throughout France at Dec 31, 2013. Co.'s assets are classified into three categories: large regional shopping centers (GLA of over 365,800 sq. m.), neighborhood shopping centers (GLA of over 181,600 sq. m.), and Other assets (40,900 sq. m.). At Dec. 31, 2013, the portfolio comprised 25 large regional shopping centers, 36 neighborhood shopping centers, and 18 other sites such as food stores, specialty stores, independent cafeterias, service malls, and convenience stores, representing a total gross leasable area of about 588,300 sq. m.
