Il est proposé aux actionnaires d'approuver à titre consultatif le principe de la cession de la technologie de la L-Méthionine à un potentiel acquéreur (résolution 1). Cette résolution s'inscrit dans le cadre de la recommandation de l'AMF qui demande que les opérations de cession d'actifs significatifs soient précédées de la consultation des actionnaires. Celle-ci doit être faite à la majorité de l'assemblée ordinaire dès lors qu’au moins deux de cinq ratios définis par l'AMF sont atteints.
Par ailleurs, considérant que les montants des résolutions approuvées en juin dernier portant sur l'émission d'options et d'actions gratuites étaient à "un niveau bas par rapport aux plans historiquement autorisés dans la Société ou dans des sociétés comparables", il est proposé deux résolutions qui les remplacent en portant les montants demandés de 200 000 à 600 000 pour les options et de 700 000 à 1 500 000 pour les actions gratuites (résolutions 2 et 3).
