Tout comme l’année précédente, Proxinvest souligne un sérieux manque de transparence concernant la politique de rémunération du Président Directeur Général, Benjamin Gonzalez. Les montants sont acceptables, mais la société n’explique pas quels sont les conditions de performance de la rémunération variable, ce qui rend difficile pour l’actionnaire de comprendre le niveau d’exigence des objectifs à atteindre, ainsi que la cohérence entre rémunération et performance. La nouvelle politique ne présente aucun changement. Ainsi, nous ne soutiendrons pas la résolution concernant la politique ex ante pour 2019 (résolution 7).
De plus, nous regrettons le maintien des autorisations d’augmentation de capital en période d’offre publique, ainsi que l’autorisation d’émission de bons bretons spécifiques aux périodes d’offre publique. De telles autorisations peuvent être des mécanismes de défense pour l’entreprise, qui mettent à mal le bon fonctionnement du marché et ne seraient donc pas favorable à l’intérêt des actionnaires. Par conséquent, nous nous opposerons pour l’ensemble de ces résolutions.
