Microwave Vision - Assemblée générale mixte du 15 décembre 2020
Un communiqué en date du 10 septembre 2020 (-world.com/fr/system/files/cp_spa_mvg_hld_vdef.pdf) a annoncé la signature d'un contrat d'acquisition par HLD Europe de 55,56% du capital de Microwave Vision auprès de son actionnaire de référence Eximium (holding de la famille Baulé), de Bipfrance, de Seventure Partners et de plusieurs actionnaires minoritaires, principalement dirigeants et salariés, au prix de 26 € par action.
A l’issue de ce transfert, HLD Europe déposera à titre obligatoire un projet d’offre publique d’achat simplifiée sur le solde des actions non détenues, à un prix identique.
La nomination des administrateurs, ainsi que la modification statutaire sont sous la condition suspensive de la réalisation de l'opération d'acquisition.
C'est dans ce contexte que la société propose la nomination de quatre nouveaux administrateurs liés au nouvel actionnaire de contrôle (résolutions 1 à 4).
