Les autorisations de la présente assemblée générale ne respectent pas les plafonds de notre politique de vote. Il en est de même pour les décotes sur le prix d'émission. Par ailleurs, la société n'a pas veillé à exclure l'usage des délégations en période d'offre publique.
Concernant l'augmentation de capital réservée aux salariés (résolution 16), Proxinvest considère que l'actionnariat des salariés est souhaitable et que les sociétés doivent maximiser les possibilités d'abondement autorisées. La proposition est en ligne avec la politique de vote de Proxinvest et nous recommandons l'approbation.
Quant aux limitations globales d'augmentation de capital, celle-ci ne constituent pas de nouvelles autorisations et ne présentent donc pas en elles-mêmes de risque nouveau pour les actionnaires.
