La société propose de renouveler le mandat de l'intégralité des membres du conseil d'administration. Selon Proxinvest, le conseil comprend 1 administrateur indépendant sur 6 administrateurs au total, ce qui n'est pas acceptable.
Selon notre politique de vote, nous recommandons l'approbation du renouvellement de Marie-Françoise Jaubert (résolution 8), unique administrateur indépendant, et de Host Développement (résolution 11), puisque nous soutenons la présence d'un représentant au conseil pour chacun des trois actionnaires majoritaire et ce, même si le conseil n'est pas majoritairement libre de conflit d'intérêt.
Nous recommandons l'opposition aux autres renouvellement (résolutions 6, 7, 9 et 10).
Le dividende proposé reste quelque peu insuffisant, sans justification de la société. Cependant, au regard de l'augmentation de 233% par rapport aux exercices précédents, nous recommandons l'approbation (résolution 3).
