Nexans - Assemblée générale des actionnaires du 13 mai 2020

En raison de la crise du Covid-19, aucun dividende ne sera versé cette année alors qu'il était prévu initialement 0,4 € par action. Cette décision semble particulièrement raisonnable d'autant que l'exercice 2019 a été marqué par des pertes (résolution 3). En revanche, dans ce contexte, le retrait de la résolution portant sur la réduction de capital aurait été le bienvenu (résolution 15).

Les résolutions portant sur les rémunérations des mandataires sociaux seront soutenues. La transparence de la rémunération de Christopher Guérin, Directeur général, est très satisfaisante. La structure est acceptable ainsi que l'alignement avec la performance malgré la part trop importante des critères qualitatifs dans le calcul du variable annuel. Les montants de la rémunération sont maitrisés. Pour 2020, les modifications sont positives malgré un critère boursier qui semble moins exigeant que précédemment. Par ailleurs, en raison de la crise du Covid-19, Christopher Guérin et les membres du conseil se sont engagés à réduire leur rémunération de 30% en avril et mai 2020 (résolutions 7 à 13).

Le renouvellement de l'administratrice représentante des salariés actionnaires ne pourra être approuvé en raison d'un taux d'absentéisme élevé aux réunions du conseil en 2019 (résolution 19).
