Proxinvest note que le conseil n'est pas majoritairement indépendant (taux d'indépendance de 35%) et que la durée de mandat de 6 ans ne respecte pas le code AFEP/MEDEF et la pratique de la place. Ainsi, la nomination de Qiang Dai et le renouvellement Pauline Boyer Martin ne seront pas soutenus (résolutions 5 et 6). Proxinvest recommande de s’opposer au renouvellement de Pauline Boyer Martin que regard de son taux faible de participation aux séances du conseil. Proxinvest a essayé en vain de contacter la société pour comprendre ce taux faible.
Ensuite, la société ne rémunère pas directement son dirigeant, Jean-Michel Aulas, mais c'est la société holding, Holnest, anciennement ICMI, qui rémunère le Président Directeur Général. N’étant pas strictement soumises, on félicitera la société de se prêter à l’exercice. Cependant Proxinvest regrette fortement le fait que la société ait décidé de passer outre l’un des critères d’obtention de la rémunération variable, le fait que la société doit connaitre un exercice positif. Ainsi au regard de cette pratique et des montants excessifs, nous recommandons de s’opposer aux résolutions 8 et 9.
