Tout d'abord Proxinvest attire l'attention des actionnaires sur l'indépendance du conseil. D'après Proxinvest le conseil ne comporte que 6 membres indépendants soit 42,86% d'indépendance, et cela sans compter les deux censeurs.
Ensuite la société ne rémunère pas directement son dirigeant, Jean-Michel Aulas, mais c'est la société holding, Holnest, anciennement ICMI, qui rémunère le Président Directeur Général. Proxinvest ne recommande pas ce système de rémunération et de refacturation pour les sociétés puisque les actionnaires de ce fait perdent leur droit de regard (les rémunérations attribuées n'étant pas soumises à leur approbation).
Enfin Proxinvest regrette que la majeure partie des augmentations de capital puissent être utilisées en période d'offre au public.
