Comme lors des exercices précédents, La communication des politiques de rémunération des mandataires sociaux reste insuffisante. Proxinvest regrette également que la convention de prestations de services conclue avec GC Consult, qui permet la rémunération de M. Chifflot, ne soit pas présentée dans le rapport spécial des commissaires aux comptes sur les conventions et engagements réglementées. Sans précisions à cet égard, la société empêche les actionnaires de voter en connaissance de cause.
La convention de prestations de service passée entre la société et M. Bruhat crée un conflit d’intérêt et la société aggrave donc le manque d’indépendance du conseil.
