Le conseil n'est pas majoritairement composé de membres libres de conflits d'intérêts potentiels. Par conséquent, la nomination d'Emilie Lecomte, liée au principal actionnaire déjà représenté au sein du conseil, ne pourra être soutenu (résolution 10).
En conformité avec la loi Sapin 2, la société soumet au vote des actionnaires quatre résolutions afin de leur permettre de se prononcer sur les politiques de rémunération applicables aux dirigeants pour 2017. La transparence de la société est largement insuffisante. Cependant, au regard des montants attribués en 2016, il semble que les actionnaires peuvent approuver ces politiques de rémunération, tout dérapage éventuel pourra en effet être sanctionné par un vote contraignant sur les montants en 2018. En conséquence, nous recommandons l’approbation des résolutions 11 à 14.
