En conformité avec la loi Sapin 2, la société soumet au vote des actionnaires les rémunérations attribuées au titre de 2018 aux dirigeants. En raison d'une transparence largement insuffisante, nous ne soutenons pas les résolutions 12 à 14.
Concernant la rémunération ex ante, Proxinvest regrette que cette résolution regroupe les rémunérations du Président du Conseil, Directeur Général et Directeur Général Délégué, ce qui n’était pas le cas l’année précédente. De plus, la transparence de la société en matière de rémunération est largement insuffisante. Cependant, au regard des montants attribués en 2018, il semble que les actionnaires peuvent approuver cette politique de rémunération, tout dérapage éventuel pourra en effet être sanctionné par un vote contraignant sur les montants en 2020. En conséquence, nous soutenons la résolution 15.
