Proxy Report - AGM 09/02/2018

Cette année encore, Proxinvest déplore le manque de transparence de la société sur la politique de rémunération de ses dirigeants. Bénéteau,  qui indique pourtant se référer au code de gouvernement d'entreprise de l'Afep/Medef, ne respecte pas plusieurs recommandations du code relatives à la communication des actionnaires sur le sujet. La société a amélioré, cette année, sa communication concernant les  modalités d'attribution du variable annuel, mais de nombreuses informations restent manquantes. Il est donc impossible pour l'actionnaire de comprendre le montant dû au titre du bonus de l'exercice. 

Nous regrettons que la société ait décidé de ne plus attribuer de rémunération de long-terme ou actionnariale à ses dirigeants mandataires sociaux, ce qui n'est pas souhaitable en terme de gouvernance. Enfin, les actionnaires ont montré leur opposition aux politiques de rémunération pratiquées par la société, car les actionnaires minoritaires se sont opposés dans leur quasi-totalité aux résolutions relatives aux rémunérations lors de la dernière assemblée générale annuelle. Les résolutions portant sur les montants attribués et la politique de rémunération pour l'exercice à venir seront donc rejetées (4 à 15).
