Après une période de grandes difficultés financières, Solocal est parvenu à redresser son niveau de dette via des levées de fonds importantes demandées à ses actionnaires. Cette assemblée générale est marquée par un renouvellement de son équipe dirigeante, et les actionnaires sont amenés à voter sur les rémunérations des anciens et des nouveaux mandataires sociaux dirigeants (résolution 3 à 13). La société a nommé comme nouveau Président du conseil Pierre Danon, et comme nouveau Directeur Général Eric Boustouller, ancien directeur Général de Microsoft France. La société désre mettre en place un plan d'actions gratuites pour ces dirigeants (résolution 12) ainsi qu'un Golden Hello d'un million d'actions gratuites au bénéfice de son nouveau Directeur Général afin de compenser les pertes dues à son départ de Microsoft.
La rémunération future du nouveau Directeur Général, Eric Boustouller, présente des montants importants, donnant lieu à une rémunération potentiellement excessive pour une entreprise de la taille de Solocal. Proxinvest recommande à titre exceptionnel de soutenir le plan d'actions gratuites plutôt large qui doit aider l'entreprise à renouveler son comité exécutif mais préfère ne soutenir ni la nouvelle politique de rémunération du DG afin de limiter un peu le volume d'actions de performance attribué ni l'indemnité de départ. Proxinvest désapprouve aussi l'indemnité de départ de 595 903 € versée à Christophe Pingard.
La société a annoncé des restructurations importantes, qui mèneraient à environ 1 000 postes supprimés.
La société a su demander des autorisations d'augmentations de capital respectant les principes de Proxinvest (résolutions 14 à 19). Proxinvest recommandera l'approbation pour la plupart de ces demandes.
