Le 21 septembre 2017, Lilian Bettencourt, fille d'Eugène Schueller, fondateur du groupe L'Oréal, est décédée.
Le pacte d'actionnaire conclu entre Nestlé et la famille Bettencourt a pris fin le 21 mars dernier (6 mois après le décès de Mme Bettencourt, conformément aux conditions d'application du pacte). Le 15 février, Nestlé a publié un communiqué dans lequel il est indiqué " Le pacte d'actionnaires qui lie Nestlé et la famille Bettencourt arrive à expiration le 21 mars 2018. Afin de maintenir toutes les options ouvertes dans l'intérêt des actionnaires Nestlé, le Conseil d'administration a décidé de ne pas renouveler cet accord. Nous n'avons pas l'intention d'augmenter notre participation dans L'Oréal et nous engageons à poursuivre notre relation constructive avec la famille Bettencourt".
L’Oréal étant prêt à acheter si Nestlé décidait un jour de vendre (https://investir.lesechos.fr/actions/actualites/l-oreal-est-pret-a-racheter-la-participation-de-nestle-a-son-capital-pdg-1740801.php), la résolution de rachat d’actions (résolution 12), qui n'entrera en vigueur que le 21 octobre 2018, ainsi que l'autorisation donnée en 2017 (qui courre jusqu'au 21 octobre 2018) pourraient être utilisées. Elles permettraient de racheter 86% de la participation de Nestlé (129 881 021 actions au 31 décembre 2017).
Il est également à noter le renouvellement de Jean-Paul Agon (résolution 6). Le conseil n’est pas majoritairement indépendant, cependant, notons la nomination de 2 administrateurs indépendants à la présente assemblée (portant ainsi le taux d’indépendance global du conseil de 33,33% à 40%), amélioration bienvenue et saluée. De plus, M. Agon présente un bilan globalement positif, aussi nous soutenons son renouvellement.
