Proxinvest souhaite attirer l'attention des investisseurs sur plusieurs points :
- Tout d'abord, Proxinvest s'oppose à l'approbation de différentes résolutions relatives à des autorisations d'augmentation du capital social (résolutions 7 à 11). En effet, les montants en jeu excèdent différents plafonds de notre politique de vote, et la Société n'a pas exclu leur usage en période d'offre publique, ce qui n'est pas satisfaisant.
- Proxinvest s'oppose également à la résolution relative au rapport sur les conventions réglementées. En effet, la transparence concernant les modalités des différentes conventions mentionnées n'est pas suffisante pour que Proxinvest puisse recommander l'approbation.
- Enfin, Proxinvest tient à souligner le caractère insuffisant de la transparence de la Société sur ses pratiques de gouvernance, ce qui n'est pas satisfaisant pour l'information des actionnaires.
