ITEM 4: Mr Kessler’s 2016 remuneration amounts to €7.96 M (€6.3 M in 2015). This represents 230% of the median total CEO remuneration in the Insurance sector of the Stoxx Europe 600 and widely exceeds its French peers.
Although we appreciate that some of his long-term variable remuneration has been granted under the LTIP (hence performance is measured over a 6-year period), he also received options subject to performance criteria that will be measured over only 2 years. ITEMS 4 and 5: Finally, the company keeps on allowing vesting in case of
underperformance. This is not acceptable and it is high time that the company hears its shareholders’ resentment and stop implementing such practices. This point is the main reason Proxinvest and ECGS do not support the remuneration policy of Scor’s Chairman and CEO.
