Signify - EGM 27 October 2020
ECGS notes that as a result of the Covid-19 pandemic the EGM will be held as an electronic meeting only. Consequently, it will not be possible to attend the EGM in person.
In general, Signify is in compliance with the Dutch regulations relating to the organization and procedures of the Extraordinary General Meeting.
Under ITEM 1 the supervisory board proposes to newly appoint Mr. Francisco Javier van Engelen Sousa as CFO and member of the executive board. The proposed term of appointment of 4 years is in line with provision 2.2.1 of the Dutch Corporate Governance Code. ECGS notes that, as announced on May 26, 2020, Mr. van Engelen Sousa will assume the role of CFO and will succeed Mr. René van Schooten who currently holds such position on an interim basis. ECGS has no concerns over the proposed appointment of Mr. van Engelen Sousa and accordingly recommends to vote FOR.
