L'absence de conventions au rapport spécial est, sauf opération non signalée aux commissaires aux comptes, le signe d'une bonne autonomie du projet de l'entreprise et d'une meilleure intégrité économique du groupe (résolution 4).
La pratique consistant à ce que les mandataires sociaux perçoivent une rémunération au titre de leur contrat de travail est regrettable dans la mesure où elle permet de soustraire cette part de rémunération du vote contraignant des actionnaires.
La rémunération exceptionnelle de Patrice Demay d'un montant de 515 582 € ne semble pas faire l'objet d'une justification de la part de la société (résolution 11).
